1. Purpose
1.1. These General Terms of Use (hereinafter “GTU”) apply for the use of the website PRIVATE CHOICE operated by PROTEIFORM’ PRODUCTIONS, a limited liability company, registered with the Paris Trade and Companies Register under number 495277659, having its registered office at 225, rue du Faubourg Saint-Honoré – 75008 Paris, represented by Mrs. Nadia Candet (hereinafter “Private Choice”).
2. Content of the website
2.1. The website www.privatechoice.fr (hereinafter the “Wesbite”) presents the activities of Private Choice.
The information contained on the Website is as accurate as possible, but may contain inaccuracies or omissions. Private Choice reserves the right to correct and/or modify the information available at any time.
Our Website may contain hyperlinks to other websites or other resources available on the Internet. Private Choice has no means of controlling websites connected to its links, which shall not incur Private Choice’s liability.
You are solely responsible for the use of the information available on the Website, and Private Choice may not be held liable in this respect.
In no event shall Private Choice be liable for any damages of any kind whatsoever that you may suffer as a result of using the information available on the Website.
2.2. The Website also presents the artworks sold by Private Choice and allows you to register for events organized by Private Choice.
3. Artworks available on the Website
3.1. You may view artworks sold by Private Choice and book online one or more artwork (hereinafter referred to as the “Artwork” or “Artworks”) on the Website. Any natural or legal person (individual or professional) who books an Artwork on the Website is hereafter referred to as the “Client”.
3.2. Any reservation of an Artwork made on the Website is subject to prior knowledge and unreserved acceptance of the entire GTU. Unless otherwise agreed, the GTU exclude any consideration of the Client’s terms and conditions.
3.3. Private Choice’s offers are exclusively intended for private individuals and professionals acting as final consumers. Commercial resale of the Artworks is prohibited. Private Choice reserves the right to refuse booking requests if they appear to have the purpose of commercial resale.
3.4. Artworks available for booking on the Website are:
• Unique artworks;
• numbered limited editions artworks;
• numbered unlimited editions artworks.
Artworks are presented on the Website under different form of categories: painting, photography, sculpture, video, drawing, lights/mirror, seat, console/table, carpet/embroidery/textile, ceramics/crockery/vase/candle holder.
Each of the Artwork is presented on the Website under a dedicated page, including photographs, a precise description of the Artwork, namely materials, dimensions, method of manufacture if applicable, and the purchase price.
The information relating to the Artworks available on the Website enables the Client to know the main characteristics of the Artworks he wishes to book and to ensure that it corresponds to his expectations and notably its destination place.
4. Reservation process of the Artwork
4.1. You may reserve one or more Artworks by filling in the form provided for this purpose.
- step 1 : the Client selects the Work(s) he/she wishes to reserve;
- step 2 : the Client clicks on the button “Reserve/Rendez-vous” allowing him to reserve the Work(s) and to fix an appointment with Private Choice;
- step 3 : once the Client has chosen the Works, he/she must confirm his/her request for an appointment and enter his/her information and contact details;
- step 4 : a summary page appears, allowing the Client to check the information they have entered and to correct any errors (information concerning them, Works concerned, etc.) by clicking on “Modify” for each data field;
- step 5: the Customer can cancel his appointment request at any time by closing the window of his Internet browser. If the Customer wishes to validate his request, he confirms the appointment by clicking on the confirmation button [“I confirm my request”].
4.2. Contact is usually made by e-mail and by means of automated procedures. The Client must ensure that the e-mail address he/she indicates for the execution of his/her request is correct in order to be able to receive e-mails sending by Private Choice at this address. In particular, any Client using anti-SPAM filters must ensure that he/she can receive all e-mails sent by Private Choice.
4.3. Refusal to process a request
Private Choice reserves the right to remove at any time any Artwork posted on the Website and to replace or modify any content or information on the Website. Despite Private Choice’s best efforts to satisfy its clients’ expectations, Private Choice may have to refuse to process a reservation request.
Private Choice may not be held liable towards the Client or a third party for the harmful consequences of the removal of an Artwork from the Website, or the replacement or modification of any content or information appearing on this Website, or the refusal to process an appointment request.
5. Artworks prices
5.1. Purchase prices of the Artworks are set by Private Choice. Unless otherwise stated by Private Choice in the description of the Artworks, the prices displayed are total prices in euros including the applicable VAT, excluding delivery costs. Any additional delivery and shipping costs are fixed after the order has been placed, on the basis of an estimate quote provided by Private Choice at the Client’s request.
In the event that customs duties, local taxes or import duties are payable, they are the sole responsibility of the Client. It is the Client’s responsibility to make declarations and payments required by the competent authorities/bodies. It is the Client’s responsibility to obtain information from the competent authorities before purchasing the Artworks.
5.2. No transaction for the purchase of Artworks takes place through the Website. Purchase and payment of the price of the Artworks may take place directly between Private Choice and the Client during the appointment or afterwards. Under no circumstances may the reservation of an Artwork be considered as an act of purchase, Private Choice reserving the right to refuse any transaction with the Client.
6. Registration to Private Choice events
6.1. You may also register for events organized by Private Choice by filling in the appropriate form.
6.2. Contact is usually made by e-mail and by means of automated procedures. The Client must ensure that the e-mail address he/she indicates for the execution of his/her request is correct in order to be able to receive e-mails sending by Private Choice at this address. In particular, any Client using anti-SPAM filters must ensure that he/she can receive all e-mails sent by Private Choice.
6.3. Refusal to process a request
Private Choice reserves the right to refuse to answer respond to a request for an invitation to events organized by it for any reason whatsoever. Despite Private Choice’s best efforts to satisfy its clients’ expectations, Private Choice may have to refuse to process an invitation request.
Private Choice shall not be liable towards you or any third party for any damaging consequences of the refusal to process an invitation request.
7. Intellectual property right
All the Artworks available on the Website are protected by copyright and/or by a title of design and models in application of the provisions of the French Intellectual Property Code.
The reservation of an Artwork on the Website does not provide the right for the Client to exploit the intellectual property rights protecting the Artwork. Consequently, the Client expressly refrains from reproducing and representing the Artwork, which acts are subject to the prior written authorization of its author pursuant to the provisions of the French Intellectual Property Code
Furthermore, all the content of this Website, all texts, comments, photos, brands, logos, illustrations and images of the Artworks on the Website, the graphic charters, the software, without this list being restrictive, are protected by intellectual property and for the entire world.
Any total or partial reproduction or representation of the Website, of one of these rights and of the Artworks, without the prior express authorization of Private Choice is strictly forbidden and would constitute an act of infringement prohibited by the French Intellectual Property Code. This representation or reproduction, by any means whatsoever, constitutes an infringement punishable by Articles L.335-2 et seq. of the French Intellectual Property Code. Failure to comply with this prohibition constitutes an infringement that may incur civil and criminal liability for the infringer. In addition, the owners of the copied content may bring a legal action against you.
Consequently, the Client shall refrain from any action and any act likely to infringe directly or indirectly the intellectual property rights of Private Choice and the authors of the Artworks.
8. Access to Website and liability
Private Choice makes its best efforts to provide access to the Website 24 hours a day and 7 days a week, subject to cases of force majeure, possible technical breakdowns and technical interventions necessary to ensure the proper functioning of the Website.
Private Choice cannot under any circumstances guarantee the permanent availability of the Website and the services offered, so that Private Choice cannot be held liable in the event of impossibility to access to the Website and the services offered.
Private Choice also reserves the right to temporarily close the Website or access to one or more of the services of the Website at any time, without Private Choice being held liable in this respect.
In general, Private Choice cannot be held liable for any damage caused by third parties resulting from the use of the Website and the services offered on the Website.
9. General provisions and applicable law
Private Choice reserves the right to modify these GTU at any time by publishing a new version on the Website. The GTU are those in force at the date of the reservation of the Artwork.
The Website is accessible in French.
These General Terms and Conditions are governed by French law.
